Shareholder Activist Update: Sandler Capital and MMI Investors up stakes in technology companies

Last week activist shareholder MMI Investors (Millbrook Capital) sent a letter to EMS Technologies Inc. (NYSE: ELMG) disclosing their recent increase in ownership. According to Hedge Fund Solutions’ Catalyst Equity Research Report, MMI Investors now owns 1,084,400 shares, or 7.1% of shares outstanding, in the company. In the letter, MMI Investors also expressed concern over EMS Technologies’ “overly-complex and disjointed” corporate strategy and structure, and recommended the formation of a special committee of independent directors to pursue strategic alternatives.

MMI Investors, also known as Millbrook Capital Management, is a shareholder activist hedge fund and private equity manager founded by Chairman John S. Dyson, the former New York City Deputy Mayor. The firm manages the MMI LP and MMI Investments hedge funds.

Also last week, Sandler Capital disclosed its 5.02% ownership position in National Technical Systems (NYSE: NTSC). Sandler Capital has expressed concern over the company’s stock price and also pressured for similar strategic alternatives, including a sale of the company. Sandler Capital currently owns 506,654 shares in National Technical Systems.
